EXPRESS MATERIAL CONDITIONS OF RENTAL AGREEMENT

1. Absolutely no smoking anywhere on the Property (neither inside nor outside of any and all of the structures); unless for that particular property, there is a designated smoking area. Termination, and/or additional costs may be charged.
2. Absolutely no parties or events except as specifically permitted in an additional written addendum. Termination, and/or additional costs may be charged.
3. The Rental Agreement may be cancelled by Owner if Guests are part of a bigger group with multiple rentals at the same time. This condition is strictly enforced. Any violation of this condition may result in immediate termination of this rental agreement and no-refund of any payments. Other fees may also be incurred. SPECIAL TERMS The following special terms override any provision herein to the contrary.
4. The property is a 100% smoke-free environment. No Smoking inside or around any of the property structures. Members of the homeowners’ family have extreme allergic reactions and sensitivities to smoke, and particulates—even lingering smoke. This condition is strictly enforced. Any violation of this condition will result in immediate termination of this rental agreement and no-refund of any payments, including the security/damage deposit. Other fees and remediation costs may also be applied.
5. Residential Community/ Noise: Please be respectful of our peaceful neighborhood. Quiet time is from 9pm to 8am (Maui County Law). Noise must not unreasonably disturb adjacent neighbors. Amplified sound audible beyond our property boundaries is prohibited. Please be aware that voices carry when on the lanai (deck) and please move indoors after 9pm. Our neighbors appreciate your kokua (cooperation). Excessive noise will result in you being asked to leave the property without reimbursement.
6. It is Hawaiian custom to remove shoes before entering the home, but also Maui red sand and soil stains everything!
7. No Parties: Group gatherings are limited to registered guests only.
8. Parking: Vehicles must be parked within our property (driveway) and must not be parked on the street. Drive SLOWLY in the neighborhood. Kids, Pets and Walkers abound. Important!
9. The kitchen and dining areas should be kept very clean, with food contained or refrigerated to prevent attracting the critters that love the tropics too.
10. Surfing/Windsurfing/SUPs/Beach Toys: Please keep these outside as they can easily damage the inside of our home.
11. Liability: The Property is privately owned; neither the owners nor the property managers nor any service personnel are responsible for any accidents, injuries, illness or other damage to person or property that occurs while or as a result of the guests being on the premises or using any items provided with the House. The Owner/ Property Manager/Service Personnel are not responsible for the loss of personal belongings or valuables of the guest. By accepting this reservation and entering the property, it is agreed that all guests are expressly assuming the risk of any harm arising from their use of the premises or items provided at the property, as well as others who they allow on the premises.

STANDARD TERMS Upon the terms and conditions stated herein, this Vacation Rental Agreement Addendum (“Agreement”) for the Property is agreed to and signed by Guest expressly for the benefit of the owner of the Property (“Owner”) and owner’s agents. RENTAL PERIOD Guest hereby agrees to reserve and rent the Property from Owner for the rental period above described (the “Rental Period”). Guest may Check In any time after the time indicated above on the Check in Date and must Check Out no later than the Check Out time indicated above on the Check Out Day. ADVANCE AND FINAL PAYMENT The nonrefundable Booking Deposit described herein is required upon contract execution to secure your reservation. The remaining balance along with a security and incidental charge deposit and any other applicable charges are due on the Balance Due date described above.
 SECURITY AND INCIDENTAL CHARGE DEPOSIT (“SIC DEPOSIT”) Guest is required to pay a SIC Deposit in the amount described above, which may be used to cover any damages to the Property, additional and/or itemized charges, breaches of this Agreement, and/or missing items from the Property that occur during the Rental Period. The SIC Deposit is fully refundable after the Rental Period, provided owner or owner’s agent is able to confirm that the following provisions are met:

• Property is left in the same condition in which it was received. No damage to the Property or its contents. Ordinary wear and tear excluded.
• No items missing from the Property.
• All additional charges, excess occupancy, pool heat, if any, A/C charges, early and/or late check in fees, etc., if any, are paid.
• No breach of this Agreement occurred. Typically, the balance of SIC Deposits are returned within 30 to 40 days after check-out. CANCELLATIONS In the event Guest decides to cancel the reservation, a written notice must be provided as described above. Failure to provide timely written notice of cancellation may result in additional fees of up to 100% of the rental value and booking deposit payments. Upon notice of cancellation, owner and/or owner’s agent will attempt in a commercially reasonable manner to re-rent the Property during the booking dates to minimize damages. Upon re-renting, Guest will be paid a partial or full refund depending on if the property can be re-rented at the same, less, or greater amount plus commissions to agents. Guest will be responsible for any commissions earned by owners, guests and any other agent earning a commission upon the original booking and the re-renting. You are urged to obtain travel insurance for protection against, among other things, your inability to make the trip contemplated by this Agreement. Please consult with TP for more details. SALE OF PROPERTY You understand that the owner of this rental retains the right to sell the Property at any time. In the event the Property is sold, TP will use its best efforts to provide a substitute vacation accommodation to you of equal value. If TP is unable to find substitute accommodations acceptable to you, then this Agreement shall be cancelled and terminated and TP shall refund to you all payments made by you under this Agreement. Thereafter, TP shall not have any obligations to you other arising out of the unavailability of the rental property and/or the resulting change in your travel arrangements. MAXIMUM OCCUPANCY Occupancy of the Property is limited to 2 ppl per bedroom. Violation of occupancy limits will result in forfeiture of Guest’s SIC Deposit and/or an Excess Occupant Fee described above per night for each occupant in excess of the maximum number permitted as stated above; all in owner’s or owner’s agent’s discretion. RESPONSIBILITIES AT CHECK OUT At Check-Out Time, Guest shall return possession of the Property to Agent in the same order and repair as it was when the Guest took possession at Check-In Time. Ordinary wear and tear excluded. Otherwise, costs may be deducted from the Guest’s SIC Deposit.
RESOLUTION OF DISPUTE VIA ARBITRAITON; BREACH AND EVICTION; ATTORNEY’S FEES Except for eviction proceedings, the parties agree that any and all disputes regarding this Agreement and/or the rental shall be resolved only and solely through mandatory arbitration in the State of Hawaii. In the event of any breach of contract, including but not limited to the commencement of eviction proceedings, Guest will be held financially responsible for all attorney’s fees and related costs. (a) Noise Guest shall not make or permit any excessive, disturbing or annoying noise in or on the grounds of the Property by him/her/them, his/her/their family, or his/her/their Agents, servants or visitors, nor permit such persons to do anything that will interfere with the rights, comforts, or conveniences of neighbors or other persons in the surrounding area. Violation of these noise restrictions may result in forfeiture of Guest’s payments. (b) Illegal Drugs and Other Substances There shall be no use of any illegal drugs or any other illegal substance at the Property or areas directly surrounding the Property by Guest, occupants or visitors. Immediate termination will result. (c) Vendors All vendors who will be on the Property during your stay must maintain general liability insurance; and be expressly approved by owner and/or owner’s agent, in writing, before entering the Property. (d) No Events/Dinner Parties Guest may not have dinner parties at the Property without the prior written consent of owner. This Guest Policy is strictly enforced. Your violation of this policy will result in immediate termination of your occupancy and forfeiture of your SIC Deposit. Other fees may also be incurred. (e) Relations of Guests Guest understands and abides by the Hawaii state law that limits the number of unrelated tenants to 5 people. (f) Cars/Parking There shall be no more 1 car per bedroom at the Property at any one time. All cars must be parked in the driveway. (g) Complaints Any complaints received concerning the behavior of the Guest, Guest’s family, other occupants, guests or visitors while occupying the Property shall, at the owner’s or owner’s agent’s reasonable option, result in immediate termination of this booking/rental, and the forfeiture of Guest’s payments. (h) Right of Access The owner and/or owner’s agent shall have the right, but not the obligation, to enter into the Property and the grounds surrounding the Property at all reasonable hours for the purpose of inspection, but the owner and owner’s agent agrees not to exercise this right in such a way as to unreasonably interfere with the quiet enjoyment of the Guest except in an emergency. If the Property is listed for sale, owner may show it upon 24 hours notice. (i) Maintenance Owner makes a commercially reasonable effort to carefully maintain the Property and the personal property therein, however unexpected and/or untimely failures of equipment and appliances may occur. If something is not working properly, please call the owner’s agent office and report the problem. We will attempt to correct the failure as quickly as is reasonably possible, and we ask for the Guest’s patience and understanding in the interim. We cannot and hereby do not guarantee the condition of televisions, DVD players, stereos, appliances, or other equipment, or the condition of pools and hot tubs/spas. NO REFUND OR RATE ADJUSTMENT WILL BE RECEIVED FOR FAILURE OF THE EQUIPMENT OR APPLIANCES IN OR AT THE PROPERTY. (j) LIMITATION OF LIABILITY OF OWNER’S AGENT: GUEST AND THEIR GUEST(S) WILL BE OCCUPYING THE PROPERTY AT THEIR OWN RISK AND WILL NOT HOLD ANY OWNER’S AGENTS HEREIN LIABLE FOR ANY PERSONAL LOSS, INJURY ARISING FROM THE USE OF SAID PROPERTY, INCLUDING BUT NOT LIMITED TO, EXPOSURE TO ALLERGENS, MOLDS, OR CHEMICALS IN OR AROUND THE PROPERTY. GUEST’S SOLE REMEDY FOR ANY BREACH ALLEGED AGAINST OWNER’S AGENT OR FAILURE TO MAKE THE PROPERTY AVAILABLE FOR THE RENTAL PERIOD, IS A REFUND OF THE FEES PAID TO THE OWNER’SAGENTS, WHICH GUEST AGREES AND ACKNOWLEDGE(S) IS A FAIR AND REASONABLY ACCURATE ESTIMATE OF ANY DAMAGES THAT WOULD ARISE FROM ANY OWNER’S AGENT’S BREACH HEREIN. (k) Indemnification To the extent caused by Guest’s or Guest’s visitors and invitee’s use of the Property, Guest, for themselves and his/her/their guests and visitors, hereby agree to indemnify, defend and hold harmless owners, owner’s agent, and their employees, officers, directors, owners, agents, and assigns from any and all costs, expenses, attorney fees, suits, losses, settlements, judgments, fines, liabilities, damages or claims for damages arising out of or in connection with any damage to the Property or any injury caused to any person (including death) occurring during Guest use of the Property or the grounds surrounding the Property, (l) Notification of Injury to Person or Damage to Property Guest shall immediately notify owner’s agent of any damage to the Property or injury taking place to any person on the Property or on the grounds surrounding the Property, regardless of the cause of such damage or injury, which occurs during the Rental Period. (m) Termination of Rental Agreement Guest’s failure to adhere to the terms and conditions as set forth in this Rental Agreement will result in owner and/or owner’s agent having the option to terminate the Rental Agreement, resulting in the loss of all payments herein. Guest hereby agrees that loss of said fees is a fair and reasonable estimate of the damages that owner and/or owner’s agent would incur for Guest’s breach of the Rental Agreement. Or, Owner may pursue any other remedy available, including under law or as provided in this agreement; and, if Owner prevails, Owner will also be entitled to attorneys’ fees.

RESPONSIBILITIES AND LIABILITIES AND ROLE OF TP TP acts as a marketing agent and/or managing agent for the owners, suppliers and contractors providing accommodations, transportation and services to you. Under no circumstances shall TP, managing agents, owners of property, and/or their respective employees be responsible for any loss, expense, damages, claims or injury direct, indirect, consequential or otherwise whatsoever, caused or incurred whether arising in contract, or otherwise in law or equity as a result of rendering of the services or accommodations as described in this Agreement or as a result of any delay(s), substitution(s), rescheduling(s) or change(s) in the services or accommodations arranged by TP. Additionally, TP, managing agents, property owners, and/or their respective employees shall not be responsible for any loss, expense, damages, claims or injury direct, indirect, consequential or otherwise caused by reason of military actions, acts of God, or by any agents, employees, subcontractors, servants or services as provided or substituted. TP in its sole and unfettered discretion reserves the right to refuse or discontinue service to any person(s) and/or to rescind any contract for accommodations or services. TP, its managing agents, property owners, and/or their respective employees are not responsible for theft or damage of personal property of tenants and no refunds will be given for any such occurrences. You and all occupants have been advised not to leave personal articles in vehicles, even if in the trunk; to always lock their vehicle; to always secure the rental. If renting mopeds, bicycles or any vehicles, you are strongly encouraged to arrange for additional insurance, which provides adequate protection in the event of injury, damage or theft arising out of such activities. You acknowledge and agree that the owner, TP, and any of its Agents assume no liability for any injury, death or loss to persons or property arising out of or in connection with your rental of the property. On behalf of you, your family, or any tenants or agents who may stay at or visit the Property during your rental term, you hereby assume all risks relating in any way to your visit, including, without limitation, any risks of personal injury to you or anyone else and damage to any property, and you completely release the owner, its family members, heirs, agents, successors and assigns from all liability, known and unknown, relating to your visit. You also agree to indemnify and hold harmless the owner, its family members, heirs, agents, successors and assigns from any losses, costs, damages, expenses, claims, liabilities and judgments, including, without limitation, any attorney's fees and costs, relating to your use of the property. You understand that TP is only a marketing agent for the owner(s) for any property and receives a commission ranging from 5% to 30% of the value of the Agreement once all other monies are paid by you. In order to process a reservation all monies are paid immediately to the legal property owner, other agent or agency, caretaker, realtor or property manager to secure the reservation. Since funds are paid to third parties, TP cannot warrant that client funds will be recoverable on behalf of you in all circumstances. As a result, you acknowledge that, if all rental monies have been paid, the maximum recourse you have against TP for any alleged breach of this Agreement is the amount of the commission paid or to be paid to TP arising out of this Agreement. DISCLAIMERS (a) Oceanfront & Beachfront Homes The description of “Oceanfront” homes includes having a seawall between the property and the ocean. There may or may not be sandy beach in front of a seawall depending on varying tides and the natural and unpredictable erosion and accretion patterns. “Beachfront” homes are generally characterized as having no seawall between the home and ocean and having sandy beach beyond the vegetation line. Due to natural and unpredictable erosion and accretion patterns and varying tides, however, the sandy beach will increase or decrease. At times the decrease may be to the point where no sandy beach or beach access remains in front of a particular home. Due to the above Trinity Properties cannot guaranty the presence of sandy beach or direct beach access in front a specific property. Photos of properties are taken at different times during the year and may not represent the condition of the beach at the time of tenant arrival. No refund of monies will be paid to any tenant due to the varying condition of sandy beach in front of a property. (b) No Pets
 Tenant shall not bring any pets or other animals onto the property.
 (c) Construction Tenant understands that TP cannot guarantee that adjacent properties will be free from construction or other disturbances. Should construction at an adjacent property or properties occur during the tenants stay at the rented property, this will not be grounds for discount and/or cancellation of rental agreement. (d) Tropical Pests Tenant understands that Hawaii is a tropical climate in which insects, rodents and lizards unfortunately flourish. Tenant will undoubtedly encounter these pests during your stay and understand that TP will make our best effort to hold to an absolute minimum your interaction with these pests. Contact with a pest inside or outside of your rental is not reason for termination of this Agreement nor is it a reason for a refund of Tenant’s monies. (e) Weather/Climate Tenant may experience dissatisfaction with the weather, climate, property decor, location or island activity, none of which will result in a partial or full refund. (f) Ocean Safety The ocean around Hawaii may be dangerous. There are invisible currents that could flow out to sea. Please be careful and “If in doubt, don’t go out”.
