The Maui Condos Papakea F205 TERMS AND CONDITIONS RENTAL AGREEMENT Property Address: 3543 Lower Honoapiilani, Unit F205 Lahaina Maui, HI (“Property") ALOHA, we look forward to having you as our guest! Please review this Rental Agreement ("Agreement") in its entirety. It will govern your rental arrangement and legally binds you ("guest") to the terms set forth below. This rental is conditioned expressly upon your acceptance without modification of the terms, conditions, and notice requirements set forth below. Description of Property: 1 Bedroom/1Bath Oceanfront Condo, 2nd floor with elevator access, Non-smoking condo, no pets allowed. Sleeps 4. Cancellations: All cancellations are subject to a $125.00 administration fee. No refunds are made for unused nights resulting from late arrivals or early departures regardless of cause. Deposits are fully refundable if cancellation is made 90 days prior to arrival date. Cancellations made within 30-89 days of arrival date, will be refunded only if the owner's are able to rebook the unit. If cancellation occurs within 29 days of arrival, rent amount is not refundable. Reservation policies, terms and rates are subject to change. All changes and cancellations must be made in writing by email to: mahanresort .a.yahoo(EMAIL HIDDEN) A reply is needed to confirm request. Access to Property: The Papakea Front Desk will issue a key card to allow access to the unit. Check-in time is 3:00pm and early check ins are not allowed. Check-out is 11:00 am and late check-outs are not allowed. Air Conditioning/Energy Conservation: While we recommend opening the windows to allow for natural air-flow, there is air conditioning available in the unit. For the benefit of the environment and to keeps costs down please turn of air conditioning, lights, fans when not in the unit and at check out. No Daily Maid Service/Cleaning: Unless otherwise noted in your rental contract NO DAILY MAID SERVICE is included in your rental rate. Starter cleaning supplies provided are not replenished. Supplies included are, dishwashing liquid, dishwasher soap, laundry detergent, paper towels, toilet paper, and trash liners. Maintenance: Equipment occasionally fails. If you experience or find items that need to be repaired, please contact the Front Desk at the Papakea. Condo Availability: Problems rarely occur but should such a situation arise whereby the property becomes unavailable we will assist you in finding an alternative condo up to and including the day of your arrival. Guest is responsible for all incremental costs of alternative accommodations. All reservations are subject to cancellations or change for reasons including but not limited to, acts of God, failure of guest to vacate as scheduled, or fire.

Refunds: We do not offer refunds for any reason including and without limitation, inclement weather, failure of equipment including cable, Internet, phone, pests, and sickness. SUBLEASING/EVENTS: Subleasing is prohibited. No parties, events, weddings are permitted. SMOKING: This is a NON-SMOKING CONDOMINIUM. State Law prohibits smoking inside the property and on the lanai. Violations are subject to fines. Occupancy: (4) Persons maximum and (1) Car. Late Check Outs: Late checks outs are not permitted unless agreed to in advance with Owners. If you have a late flight, we recommend that you book an extra night. Late checkouts will incur additional rent. Late checkouts fee is $125 and on an availability basis, which cannot be guaranteed until 3 days prior to arrival. Damage/Loss/Disturbance Policy: Accidents happen. Please report any damage(s) to the owner so they may make repairs and/or replace items before the next guest arrives. Please do not remove any furnishings, equipments or items from the unit, including any linen, dishes or other items from the unit. Guest will be solely liable for any additional costs, charges or expenses resulting from any damage, lost or stolen items or excessive check-out cleaning. Owners will NOT be responsible for any lost, stolen or damaged items. Owner will use its best efforts to ensure that all equipment within the unit is in good working order, although Owner does not guarantees that any equipment will not break down during your stay, and therefore such a breakdown does not constitute a breach of this Agreement or give Guest any right to any refund or rental adjustments for any such mechanical failure. Guest understands that there is no guaranty that properties adjacent to the unit will be free from disturbances, including but not limited to noise or inconvenience from construction, traffic or other guests or neighbors, and any such disturbance shall not constitute a breach of this Agreement or give Guest the any right to any refund or rental adjustment.

Deposit: Deposit is returned within 2 weeks of check out date provided that no damage was done to the property and guests were not in violation any terms and conditions of this agreement. Disclosure: Your experience in the tropics may include pests, which cannot be completely controlled, such as insects, rodents, and friendly geckos. You may also experience dangerous ocean conditions, strong sun and security issues. There are no lifeguards at the pools or beaches. We ask that you be aware of your surroundings and take appropriate precautions. Dispute Resolution: The parties will attempt, promptly and in good faith, to resolve any dispute arising out of or in connection with this Agreement. If they are unable to resolve a dispute within a reasonable time (not to exceed thirty days), then any party may submit such dispute to mediation in Santa Clara County, California. Each party must bear its own expenses in connection with the mediation and must share equally the fees and expenses of the mediator. If the parties are unable to resolve the dispute within sixty days after commencing mediation, each party shall be free to pursue its remedies under this Agreement.

Applicable Law, Jurisdiction and Venue: This Agreement will be governed by and construed in accordance with the substantive laws of the State of California without regard to conflict of law principles. Any action relating to the Agreement will be brought in County of Santa Clara, California, or if under federal jurisdiction, in the U.S. The parties hereby submit to the jurisdiction of such courts, and waive any venue objections thereto. Prevailing party shall be entitled to recover reasonable attorneys' fees.

Severability: If a court of competent jurisdiction finds any provision of this Agreement unlawful or unenforceable, that provision will be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement will continue in full force and effect.

Guest understands and agrees to all the conditions of this rental agreement. Guest agrees to release the Owners, The Papakea, and its agents, employees and affiliates (“Papakea Parties") of all liability. Guest agrees to release Papakea Parties and to indemnify and hold harmless the Papakea Parties from and against any and all loss, claims, liability, damage, costs and expenses, including attorney fees arising from any nuisance or harm made or suffered on the property by you or your guests or invitees, including without limitation, injury or death, or from any carelessness, neglect or improper conduct of any persons entering, occupying or visiting the premises. The term “Guest" shall be deemed to include the guests/tenant, its guests/invitees, employees, agents, successors, and assigns, and independent contractors.
